IMPORTANT - PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING WARDENSEED.
THESE TERMS CONTAIN IMPORTANT DISCLAIMERS REGARDING DIGITAL ASSETS, TOKENS, NFTS, LIMITATIONS OF LIABILITY, ARBITRATION, CLASS ACTION WAIVER, AND USER RESPONSIBILITY FOR ALL PURCHASES AND BLOCKCHAIN INTERACTIONS.
BY ACCESSING THE PLATFORM, CONNECTING A WALLET, MINTING, PURCHASING, HOLDING, TRADING, OR USING ANY DIGITAL ASSET RELATED TO WARDENSEED, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS IN FULL.

1. DEFINITIONS

"Platform" means the Wardenseed website, game systems, smart contracts, APIs, dashboards, applications, marketplace integrations, simulations, and all associated services.

"Digital Assets" means collectively any NFTs, Seeds, Tokens, collectibles, governance items, utility items, or blockchain-based assets associated with Wardenseed.

"NFT" means a non-fungible token representing a unique digital collectible or in-game item.

"Token" means any fungible digital utility token used within the Wardenseed ecosystem.

"User," "you," or "your" means any individual or entity using the Platform.

"Wardenseed," "we," "us," or "our" means the operator of the Platform.

"Blockchain" means any public distributed ledger network used in connection with the Platform.

2. ACCEPTANCE OF TERMS

By accessing or using the Platform in any way, including by:

connecting a wallet,
creating an account,
minting or purchasing NFTs,
acquiring Tokens,
interacting with smart contracts,
participating in gameplay,
using marketplace features,
or accessing blockchain-related functionality,

you irrevocably agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue all use of the Platform.

3. NATURE OF THE PLATFORM - NOT AN INVESTMENT PRODUCT

3.1 Entertainment and Game Platform Only

Wardenseed is an interactive entertainment product, game ecosystem, simulation environment, and digital collectible platform.

The Platform is designed solely for:

gameplay,
digital entertainment,
collectible ownership,
ecosystem participation,
governance experimentation,
provenance systems,
simulation mechanics,
and utility-based blockchain interactions.

The Platform and all Digital Assets are provided for entertainment and utility purposes only.

3.2 No Investment, Security, or Financial Product

NOTHING ON THE PLATFORM CONSTITUTES OR SHOULD BE INTERPRETED AS:

a security,
investment contract,
financial instrument,
commodity offering,
collective investment scheme,
passive income arrangement,
profit-sharing agreement,
savings product,
banking product,
derivatives product,
equity interest,
ownership interest in Wardenseed,
or any regulated financial product.

WARDENSEED DOES NOT SOLICIT INVESTMENT.

WARDENSEED DOES NOT PROVIDE FINANCIAL SERVICES.

3.3 No Promise of Profit or Appreciation

WARDENSEED MAKES NO REPRESENTATION, WARRANTY, GUARANTEE, OR PROMISE REGARDING:

profitability,
appreciation,
resale value,
token price,
market demand,
future liquidity,
future utility,
ecosystem growth,
governance influence,
economic outcomes,
or financial return of any kind.

NO USER SHOULD PURCHASE ANY DIGITAL ASSET WITH AN EXPECTATION OF PROFIT.

ANY VALUE OF DIGITAL ASSETS MAY DECLINE TO ZERO.

3.4 Utility Token Only

Any Token associated with Wardenseed is intended solely as a utility token within the ecosystem.

The Token:

is not equity,
is not debt,
is not a share of ownership,
does not provide dividends,
does not provide revenue participation,
does not create shareholder rights,
does not create fiduciary rights,
and does not entitle holders to any guaranteed financial benefit.

Regulatory treatment of digital assets varies by jurisdiction and may change over time. Users are solely responsible for compliance with laws applicable in their jurisdiction.

3.5 NFTs as Digital Collectibles

NFTs issued by Wardenseed are collectible digital items with possible gameplay utility.

Ownership of an NFT:

does not guarantee value,
does not guarantee liquidity,
does not guarantee resale opportunities,
does not transfer intellectual property rights except where explicitly stated,
and does not create any ownership interest in Wardenseed.

4. USER RESPONSIBILITY

4.1 Independent Decision-Making

ALL PURCHASES, MINTS, TRANSFERS, SALES, TRADES, AND INTERACTIONS WITH DIGITAL ASSETS ARE MADE ENTIRELY AT YOUR OWN RISK AND AT YOUR SOLE DISCRETION.

You acknowledge and agree that:

you make all purchasing decisions independently;
you are not relying on Wardenseed for financial guidance;
Wardenseed has not provided investment advice;
no statement by Wardenseed should be interpreted as investment advice;
you have conducted your own research and due diligence;
you understand the speculative and volatile nature of blockchain assets;
and you are solely responsible for evaluating all risks before interacting with the Platform.

YOU SHOULD ONLY SPEND FUNDS THAT YOU CAN AFFORD TO LOSE ENTIRELY.

4.2 User Bears All Financial Risk

YOU ASSUME FULL RESPONSIBILITY FOR ANY LOSS, DAMAGE, OR FINANCIAL HARM ARISING FROM:

purchasing Tokens or NFTs,
holding Digital Assets,
token volatility,
NFT illiquidity,
market conditions,
failed speculation,
governance outcomes,
smart contract interactions,
third-party marketplace activity,
wallet compromise,
phishing attacks,
blockchain failures,
gas fees,
exploits,
software vulnerabilities,
scams by third parties,
or any other blockchain-related event.

WARDENSEED SHALL HAVE NO RESPONSIBILITY OR LIABILITY FOR USER FINANCIAL DECISIONS OR MARKET OUTCOMES.

4.3 Irreversible Transactions

Blockchain transactions are generally irreversible.

You are solely responsible for:

verifying wallet addresses,
reviewing transaction details,
reviewing gas fees,
safeguarding private keys,
safeguarding seed phrases,
and securing wallet access credentials.

WARDENSEED CANNOT REVERSE, CANCEL, RECOVER, OR REFUND COMPLETED BLOCKCHAIN TRANSACTIONS.

5. ASSUMPTION OF RISK

By using the Platform, you knowingly and voluntarily assume all risks associated with blockchain technologies and Digital Assets, including but not limited to:

extreme volatility,
loss of value,
total asset loss,
smart contract bugs,
protocol exploits,
governance attacks,
chain reorganizations,
network congestion,
oracle failures,
software vulnerabilities,
regulatory enforcement,
tax consequences,
liquidity failures,
forks,
cyberattacks,
infrastructure outages,
and permanent loss of access to assets.

You acknowledge that blockchain technology is experimental and inherently risky.

6. THIRD-PARTY SERVICES

The Platform may interact with third-party services including:

wallet providers,
blockchain networks,
bridges,
RPC providers,
NFT marketplaces,
exchanges,
analytics providers,
and authentication providers.

WARDENSEED DOES NOT CONTROL THIRD-PARTY SERVICES AND IS NOT RESPONSIBLE FOR THEIR ACTIONS, FAILURES, SECURITY, OR AVAILABILITY.

Your use of third-party systems is entirely at your own risk.

7. BLOCKCHAIN DATA AND PRIVACY

Blockchain transactions are public and permanent by design.

Wallet addresses, transfers, NFT ownership, governance actions, and related blockchain activity may be visible to the public indefinitely through third-party explorers and indexers.

Wardenseed cannot modify or delete public blockchain records.

8. ELIGIBILITY

You must be at least eighteen (18) years old, or the legal age of majority in your jurisdiction, whichever is higher, to use the Platform.

You are solely responsible for ensuring that use of the Platform is lawful in your jurisdiction.

Wardenseed may restrict or prohibit access in certain jurisdictions for legal, compliance, sanctions, fraud-prevention, or regulatory reasons.

9. INTELLECTUAL PROPERTY

All Platform content, including artwork, code, game systems, designs, logos, trademarks, lore, simulations, and branding are owned by or licensed to Wardenseed.

Unless expressly stated otherwise in writing, purchasing an NFT grants only a limited, personal, non-commercial license to display the associated artwork for personal use.

No commercial rights are granted unless explicitly provided in writing.

10. DISCLAIMER OF WARRANTIES

THE PLATFORM, DIGITAL ASSETS, TOKENS, NFTS, SMART CONTRACTS, GAME SYSTEMS, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARDENSEED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT,
TITLE,
AVAILABILITY,
SECURITY,
RELIABILITY,
ACCURACY,
AND PERFORMANCE.

WARDENSEED DOES NOT GUARANTEE THAT:

THE PLATFORM WILL ALWAYS FUNCTION,
DIGITAL ASSETS WILL RETAIN VALUE,
MARKETS WILL EXIST,
SMART CONTRACTS WILL BE ERROR-FREE,
OR THAT THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION.

11. LIMITATION OF LIABILITY

11.1 Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WARDENSEED'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM, DIGITAL ASSETS, TOKENS, NFTS, SMART CONTRACTS, GAMEPLAY SYSTEMS, OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

(A) TEN U.S. DOLLARS (USD $10); OR

(B) THE TOTAL AMOUNT PAID DIRECTLY BY YOU TO WARDENSEED DURING THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IF YOU HAVE NOT MADE ANY DIRECT PAYMENT TO WARDENSEED DURING THAT PERIOD, WARDENSEED'S MAXIMUM LIABILITY SHALL BE LIMITED TO TEN U.S. DOLLARS (USD $10).

11.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARDENSEED SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES,
INCIDENTAL DAMAGES,
SPECIAL DAMAGES,
CONSEQUENTIAL DAMAGES,
EXEMPLARY DAMAGES,
PUNITIVE DAMAGES,
LOST PROFITS,
LOST REVENUE,
LOSS OF DIGITAL ASSETS,
MARKET LOSSES,
REPUTATIONAL HARM,
OR LOSS OF OPPORTUNITY,

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Wardenseed and its affiliates, operators, contributors, employees, licensors, and partners from and against any claims, liabilities, damages, losses, costs, or expenses arising out of:

your use of the Platform,
your violation of these Terms,
your violation of applicable laws,
your blockchain activity,
or your interactions with Digital Assets.

13. DISPUTE RESOLUTION

13.1 Mandatory Arbitration

ANY DISPUTE ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION.

YOU WAIVE THE RIGHT TO A JURY TRIAL.

13.2 Class Action Waiver

YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT INDIVIDUALLY.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN:

CLASS ACTIONS,
CLASS-WIDE ARBITRATIONS,
REPRESENTATIVE ACTIONS,
OR COLLECTIVE PROCEEDINGS.

13.3 Governing Law

These Terms shall be governed by the laws of the jurisdiction in which Wardenseed is legally organized, without regard to conflict-of-law principles, except where mandatory consumer protection laws apply.

14. TERMINATION

Wardenseed may suspend, restrict, or terminate access to the Platform at any time, with or without notice, for any reason including legal, compliance, abuse-prevention, or operational reasons.

15. MODIFICATIONS TO TERMS

Wardenseed may modify these Terms at any time.

Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms.

16. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

17. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, constitute the complete agreement between you and Wardenseed regarding the Platform.

18. GENERAL DISCLAIMER

THESE TERMS ARE PROVIDED FOR GENERAL INFORMATIONAL AND PLATFORM-TRANSPARENCY PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, FINANCIAL, TAX, OR REGULATORY ADVICE.
USERS ARE STRONGLY ENCOURAGED TO CONSULT QUALIFIED PROFESSIONAL ADVISORS BEFORE ENGAGING WITH DIGITAL ASSETS OR BLOCKCHAIN-RELATED TECHNOLOGIES.
NOTHING IN THESE TERMS CREATES ANY FIDUCIARY, PARTNERSHIP, INVESTMENT-ADVISORY, OR AGENCY RELATIONSHIP BETWEEN WARDENSEED AND ANY USER.
